Manager, Company Secretarial Our client is a well-established and reputable listed company in Hong Kong. We are assisting them in their search for a talented individual to fill the Manager, Company Secretarial position. Responsibilities: Oversee all company secretarial matters for the listed company and its subsidiaries Prepare annual and interim reports, ESG reports, announcements, circulars, and other corporate documents Maintain statutory records and filings, ensuring compliance with statutory/regulatory requirements in various jurisdictions Organize board, board committee, and shareholders' meetings, and prepare relevant documentation Stay updated on legislative and regulatory changes, assess their impact on business operations, and formulate internal policies to ensure compliance Review and advise on tenancy and lease agreements and contracts from other departments Manage trademark applications, registrations, oppositions, and infringement matters Handle ad hoc projects as required Requirements: Degree holder in Corporate Administration or relevant disciplines Qualified Member of HKCGI/CGI At least 8 to 10 years of company secretarial experience gained in listed company, large-scale corporations or professional firms Solid experience in Hong Kong Listing Rules Excellent command of written and spoken English and Chinese Proven track record of minute-taking and stakeholder management.
